Educational and Informational Purpose Only

DexAlert is an educational and informational technical-analysis tool. It is not a financial, investment, brokerage, or advisory service, and it is not designed, intended, or authorized to be used to make, time, place, or execute any trade, purchase, sale, or investment decision.

All content made available through the Service — including technical-indicator readings, strategy signals, entry and exit markers, backtested or hypothetical performance figures, leaderboard rankings, charts, scores, and any commentary — is provided solely to help you learn about and study technical analysis of publicly traded digital-asset markets. By using the Service you agree that you will not rely on any of it as a basis for trading, and that any trading or investment activity you undertake is your own independent decision made entirely at your own risk.

Acceptance of These Terms

Crowner Technology Inc. ("DexAlert," "Company," "we," "us," or "our") provides our services and related content to you through our website located at https://dexalert.ai (the "Site") and related technologies (collectively, the "Service").

All access and use of the Service is subject to the terms and conditions contained in these Terms of Service. By accessing, browsing, or otherwise using the Site or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept these Terms of Service, do not access, browse, or use the Service.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. We will post changes on this page and update the revision date above. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms.

Access and Use of the Service

Service Description

The Service is an educational software platform that computes and displays standard technical indicators (such as moving averages, MACD, relative-strength and stochastic oscillators, and trend measures) across multiple timeframes for publicly traded digital assets, using market price data obtained from third-party market-data providers. It also lets users define indicator-based study "strategies," observe when their conditions are met on historical and current market data, and receive optional alerts. The Service surfaces patterns in public market data for study and illustration only. It does not place trades, hold funds, custody assets, connect to any exchange or wallet on your behalf, or execute any transaction of any kind.

Registration Obligations

You may be required to register with Company or provide information about yourself (e.g., name and email address) in order to access and use certain features of the Service. It is a condition that you provide true, accurate, current, and complete information as prompted by the Service's registration form. We may disable any account, password, or identifier at any time, in our sole discretion, including if you have violated any provision of these Terms.

Account Security

You are responsible for maintaining the confidentiality of your password and account details and are fully responsible for any and all activities that occur under your account. You agree to immediately notify Company of any unauthorized use of your account or any other breach of security. Company will not be liable for any loss or damage arising from your failure to maintain account security.

Modifications to Service

Company reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof), including any indicator, signal, strategy, dataset, or feature, with or without notice. You agree that Company will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Conditions of Access and Use

User Conduct

You are solely responsible for all information, data, and other materials you make available through the Service. Company reserves the right to investigate and take appropriate action against anyone who violates this provision, including suspending or terminating accounts and reporting violators to law enforcement. You agree not to use the Service to:

  • Upload any content that infringes intellectual property rights of any party;
  • Interfere with or disrupt the Service or servers or networks connected to the Service;
  • Violate any applicable local, provincial, federal, or international law or regulation;
  • Impersonate any person or entity, or falsely represent your affiliation with a person or entity;
  • Harvest or collect email addresses or contact information of other users;
  • Attempt to reverse engineer, copy, scrape, or create derivative works based on the Service;
  • Engage in any data mining, robots, scraping, or similar data gathering or extraction methods;
  • Access systems, data, or information not intended by Company to be made accessible to a user;
  • Use the Service for any unauthorized, fraudulent, or malicious purpose;
  • Circumvent any technical restrictions or geographic restrictions on the Service;
  • Resell, redistribute, sublicense, or commercially exploit any signal, strategy, indicator reading, score, or other Service content, including by relaying it into any trading bot, automated execution system, copy-trading service, managed account, fund, or signal-selling operation;
  • Use any signal, alert, strategy result, indicator reading, score, leaderboard figure, or other Service content as the basis for, an input to, or a trigger for any trading, investment, hedging, or financial decision or transaction. Service content is strictly educational and informational and must not be used to make, time, or execute trades in any token, security, derivative, or digital asset.

Competitors

No employee, independent contractor, agent, or affiliate of any competing technical-analysis, market-data, charting, or trading-signal company is permitted to view, access, or use any portion of the Service without express written permission from Company.

Eligibility and Permitted Uses

By accessing the Service, you represent and warrant that:

  • You are at least 18 years of age, or the age of majority in your jurisdiction;
  • You have full power and authority to enter into these Terms of Service;
  • You are accessing the Service for your own personal education and information only;
  • You are not subject to any Canadian, U.S., or international sanctions that would prohibit your use of the Service;
  • You are not identified as a Specially Designated National or subject to sanctions by OFAC, the Office of the Superintendent of Financial Institutions (OSFI), or any other applicable regulatory body;
  • You will not access the Service if you have previously been prohibited from doing so.

Fees and Payments

Subscription Plans

The Service is offered on a tiered subscription basis (Free, Pro, and Platinum). Paid plans require you to select a payment plan and provide payment instrument information. You represent and warrant that such information is true and that you are authorized to use the payment instrument. Paid subscriptions are billed on a recurring periodic basis. By subscribing, you authorize Company (through its Payment Processor) to bill your payment instrument in advance until you cancel. A paid subscription grants access to additional educational features only; it does not entitle you to any trading, advisory, or financial service, or to any particular result.

Payment Processing

Company does not directly process payment card information. Payment processing services are provided by Stripe, Inc. ("Stripe") and are subject to Stripe's terms of service and privacy policy. By using paid features of the Service, you agree to be bound by Stripe's applicable agreements. Company assumes no liability or responsibility for any payments you make through the Service.

Refunds and Cancellations

Payments made are final and non-refundable except where required by applicable Canadian consumer protection law. You may cancel your subscription at any time by contacting us at support@dexalert.ai. Cancellation takes effect at the end of the current billing period; you will continue to have access until that date.

Price Changes

We reserve the right to change subscription prices. If we change prices, we will provide at least 30 days' notice through the Service interface or by email. Your continued use of the Service after the price change constitutes your agreement to pay the changed amount. You will be responsible for all applicable taxes associated with the Service.

No Financial Advice — Important Disclaimer

The Service and all content therein — including technical indicators, signals, strategy results, entry and exit markers, scores, leaderboard figures, and any commentary — are provided for educational and informational purposes only and must not be used to make or execute any trading or investment decision. Nothing on the Site or through your use of the Service constitutes financial, investment, brokerage, legal, tax, accounting, or insurance advice, and nothing should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation, endorsement, or inducement to acquire, hold, or dispose of any security, token, derivative, or digital asset.

You expressly agree not to use Service content as the basis for, an input to, or a trigger for any trade, purchase, sale, hedge, or other financial transaction. Signals and strategy results merely reflect whether pre-defined technical conditions were observed in third-party market data. They are not predictions of future price movement and do not indicate that any asset will rise or fall. Digital-asset markets are highly volatile, speculative, and risky. You may lose some or all of any capital you choose to trade or invest, and you alone bear that risk.

You should consult a qualified and licensed financial advisor, attorney, or tax professional regarding your specific situation before making any financial decision. To the maximum extent permitted by law, in no event shall DexAlert be liable for any damages, costs, or losses (including trading losses, lost income, or opportunity costs) in connection with any use of, or reliance on, the Service or the content therein.

Hypothetical and Simulated Performance

Any performance, return, win-rate, profit-and-loss, or ranking figure shown through the Service is hypothetical and simulated. It does not represent the result of actual trading and no real orders, funds, or positions are ever involved. Such figures are computed by comparing observed market prices at the points where a strategy's educational entry and exit conditions were met, purely to illustrate how a set of technical rules would have behaved.

Hypothetical and simulated results have inherent limitations. They are prepared with the benefit of hindsight, do not account for slippage, fees, spreads, liquidity, execution delay, taxes, or the financial and emotional realities of live trading, and are frequently unable to reflect the impact of market conditions on actual decisions. Past or simulated performance is not indicative of and does not guarantee future results. No representation is made that any account will or is likely to achieve profits or losses similar to those shown, and you must not rely on any such figure for any purpose other than education.

Automated Analysis Disclaimer

The Service relies on automated, algorithmic, and statistical processes to ingest third-party market data and compute indicators, signals, and strategy results ("Automated Analysis"). You understand and agree that:

  • Automated Analysis is produced by software, without human review of individual outputs;
  • Outputs may be delayed, incomplete, inaccurate, or misleading, including because of errors, gaps, or latency in third-party market data on which the Service depends — you are solely responsible for evaluating every output;
  • Automated Analysis is not intended to provide financial, tax, legal, or investment advice, and any use of it for those purposes is at your sole risk;
  • Company does not guarantee the availability, accuracy, timeliness, or reliability of any output;
  • Company reserves the right to modify, suspend, or terminate any Automated Analysis at any time.

Assumption of Risk

You acknowledge and agree that any trading or investment activity you undertake is your own independent decision, made without any reliance on the Service, and that you knowingly and voluntarily assume all risk of loss associated with it. Company is not a party to, and has no involvement in, responsibility for, or liability arising from, any transaction you enter into, whether or not you were using the Service at the time.

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Crowner Technology Inc. and its licensors. You agree not to modify, copy, frame, scrape, rent, lease, sell, distribute, or create derivative works based on the Service or its content, in whole or in part.

The DexAlert name and logos are trademarks and service marks of Crowner Technology Inc. Nothing in these Terms should be construed as granting any license or right to use our trademarks without our prior written permission.

Under no circumstances will Company be liable for any content or materials of any third parties, including for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content.

Third-Party Services and Data

The Service depends on and may provide links or access to third-party services, including Stripe (payments), Supabase (authentication and infrastructure), Telegram (optional alert delivery), and third-party market-data providers such as CoinGecko, GeckoTerminal, and DexScreener (market price and indicator source data). Your access and use of third-party services is subject to those parties' own terms and privacy policies. Company has no control over and is not responsible for third-party services or data, including their accuracy, completeness, availability, or reliability. Any dealings you have with third parties while using the Service are between you and the third party.

Indemnification

To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless Crowner Technology Inc., its affiliates, officers, employees, directors, service providers, licensors, and agents from any and all losses, damages, expenses (including reasonable legal fees), claims, and actions arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) any trading, investment, or financial decision or transaction you make; or (e) your reliance on, or use of, any Service content for any purpose.

Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CROWNER TECHNOLOGY INC. AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY MAKES NO WARRANTY THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INDICATOR, SIGNAL, STRATEGY RESULT, SCORE, OR PERFORMANCE FIGURE WILL BE ACCURATE, COMPLETE, TIMELY, OR RELIABLE; OR (D) ANY ACTION TAKEN BASED ON SERVICE CONTENT WILL RESULT IN PROFIT OR AVOID LOSS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, CROWNER TECHNOLOGY INC. AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, TRADING OR INVESTMENT LOSSES, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY INDICATOR, SIGNAL, STRATEGY RESULT, SCORE, PERFORMANCE FIGURE, OR OTHER OUTPUT PROVIDED THROUGH THE SERVICE; (C) ANY TRADING OR INVESTMENT DECISION YOU MAKE; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT WILL COMPANY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO COMPANY IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER.

Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Company is always interested in resolving disputes amicably. If you have a concern, please first contact us at support@dexalert.ai. Most concerns can be resolved quickly through direct communication.

If a dispute cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the courts of the Province of British Columbia, Canada for the resolution of any disputes arising out of or relating to these Terms or the Service. Any cause of action or claim you may have arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues.

Termination

You agree that Company, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Service and remove and discard any content within the Service, for any reason, including for lack of use or if Company believes that you have violated or acted inconsistently with the letter or spirit of these Terms. Company may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of these Terms may be effected without prior notice, and acknowledge and agree that Company may immediately deactivate or delete your account and all related information and files in your account. Further, you agree that Company will not be liable to you or any third party for any termination of your access to the Service.

General

Entire Agreement. These Terms constitute the entire agreement between you and Company regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

No Waiver. Failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

Survival. The disclaimers, limitations of liability, indemnification, and governing-law provisions survive any termination of these Terms or your use of the Service.
